1. Overview

These Terms govern your use of mistralcards.com and purchases from Mistral WineCards (“Mistral,” “we,” “us,” “our”). By using the site or placing an order, you agree to these Terms.

2. Eligibility & Accounts

You must be able to form a legally binding contract and comply with applicable laws. If you create an account, you’re responsible for maintaining its security and for all activity under it. Let us know right away about any unauthorized use.

3. Products & Availability

We may limit quantities, discontinue products, or change descriptions/prices at any time. Colors and finishes may vary slightly from images.

4. Pricing, Taxes & Payment

Prices are in USD unless noted. Applicable taxes and shipping are calculated at checkout. Payments are processed by third-party providers; we don’t store full card details.

5. Orders

We may refuse or cancel orders (e.g., suspected fraud or errors). You’re responsible for accurate shipping information. Order confirmations are sent by email.

6. Shipping & Risk of Loss

Shipping details are in Shipping & Returns. Title and risk of loss pass to you when the carrier accepts the shipment.

7. Returns

Unopened decks may be returned within 30 days. See Shipping & Returns for instructions and exclusions.

8. Trade & Wholesale

Eligibility is subject to approval. We may request documentation and can modify or revoke access for compliance or misuse. Wholesale SKUs are case-pack, net-priced. Trade discounts apply only to eligible retail SKUs.

8A. Collaborations, Custom Projects & Asset Ownership

For all collaborations, custom decks, and commissioned work with Mistral WineCards (“Mistral”):

  • All creative materials, designs, and related intellectual property remain the sole property of Mistral.

  • Mistral retains full rights to republish, reproduce, and sell parts or the whole of any collaborative or custom work, in any format, now or in the future.

  • Co-branding is limited to packaging and select cards designed specifically for the client. All cards will remain unmistakably part of the Mistral system, using Mistral’s brand, design language, and production standards.

  • Client branding on cards is limited to factual details such as vineyard names, winemakers, imagery, or related educational content, as approved by Mistral.

  • Mistral has final creative authority over all design, layout, and content decisions.

  • Mistral may request client-provided creative assets (e.g., images or logos) for use within the approved design scope, which remain the property of the client but are licensed to Mistral for use in the project and for promotional or portfolio purposes.

8B. Reseller, Trade & MAP Policy

Approved resellers and trade partners must comply with the following terms:

  • Mistral products may not be sold on Amazon or any third-party online marketplace without written authorization from Mistral.

  • Mistral maintains a Minimum Advertised Price (MAP) equal to the current retail price listed on mistralcards.com. Discounting below MAP is strictly prohibited.

  • Violations of MAP policy or unauthorized online resale may result in immediate and permanent revocation of reseller or trade privileges.

  • Mistral reserves the right to enforce MAP and distribution terms at its sole discretion.

9. Promotions, Gift Cards & Discount Codes

Promotions and discount codes are single-use unless stated, non-transferable, can’t be combined unless allowed, and may be modified or ended at any time. Gift cards (if offered) are final sale and subject to any posted terms.

10. Acceptable Use

Don’t misuse the site (e.g., interfere with security, test vulnerabilities, scrape, reverse engineer, copy content or data, or use the site for unlawful purposes).

11. Third-Party Services

We use providers such as Shopify (commerce), payment processors, analytics, email, and form apps. Your use of those services may be subject to their terms and policies.

12. Intellectual Property & Feedback

All site and product content (text, images, marks, designs, card system) is owned by us or our licensors. You may not copy, modify, distribute, or create derivative works without written permission. If you submit ideas or feedback, you grant us a non-exclusive, worldwide, royalty-free license to use them without obligation.

13. Pre-Orders & Backorders (if applicable)

Estimated dates are not guaranteed. You’ll be charged at the time of order; we may cancel and refund if fulfillment becomes impractical.

14. Errors & Corrections

We try to be accurate, but errors may occur (e.g., pricing, availability, descriptions). We may correct errors and cancel affected orders (with a refund) where permitted.

15. Warranties & Liability

THE SITE AND PRODUCTS ARE PROVIDED “AS IS.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES (EXPRESS OR IMPLIED) AND LIMIT OUR LIABILITY TO THE AMOUNT YOU PAID FOR THE APPLICABLE ORDER. WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES.

16. Indemnity

You agree to indemnify and hold us harmless from claims, damages, losses, and expenses (including reasonable attorneys’ fees) arising from your misuse of the site or violation of these Terms.

17. Force Majeure

We aren’t responsible for delays or failures caused by events beyond our reasonable control (e.g., acts of God, labor issues, supply chain disruptions, carrier delays).

18. Termination

We may suspend or terminate access to the site at any time for any reason. Sections that by nature should survive (e.g., IP, warranties & liability, indemnity) will survive termination.

19. Governing Law

These Terms are governed by the laws of the State of Washington, USA, without regard to conflict-of-law rules. Venue and jurisdiction lie in the state or federal courts located in Washington, USA.

20. Changes

We may update these Terms by posting a new date. Continued use indicates acceptance.
